Terms of Service

1. Acceptance of Terms

By accessing or using the COA Platform website (coa-platform.com) and related services (the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use the Services. These Terms constitute a binding agreement between you and COA Health Technologies SARL (“COA”).

2. Use of Services

2.1 Permitted Use

You may use the Services for lawful purposes in connection with healthcare information, provider enrollment, facility management, and related activities as described in the platform documentation. Individual healthcare providers may use the Practitioner tier at no cost for legitimate clinical practice management.

2.2 Prohibited Use

You may not:

• Use the Services to submit false, fraudulent, or misleading information
• Attempt to gain unauthorized access to any part of the Services
• Use automated tools to scrape, crawl, or extract data from the Services
• Impersonate a healthcare professional without valid credentials
• Use the Services in violation of any applicable Cameroonian law or regulation
• Attempt to interfere with the security, availability, or integrity of the Services

3. Healthcare Provider Enrollment

Healthcare providers enrolling on COA must hold valid professional credentials recognized by the Ordre National des Médecins du Cameroun (ONMC) or equivalent professional body. COA reserves the right to verify credentials and suspend accounts where credential fraud is suspected. Enrollment does not constitute COA's endorsement of any individual provider's clinical practice.

4. Facility Subscriptions

Facility subscriptions are governed by a separate Facility License Agreement (“FLA”) entered into between COA and the subscribing healthcare institution. The FLA takes precedence over these Terms with respect to facility-level services. Pricing, service levels, and data handling for facilities are defined in the FLA.

5. Intellectual Property

All content, design, code, and functionality of the COA Platform is the intellectual property of COA Health Technologies SARL and is protected under Cameroonian law. You may not copy, reproduce, distribute, or create derivative works without explicit written permission. Patient data and clinical records entered by users remain the property of the respective patients and healthcare institutions.

6. Medical Disclaimer

COA is a clinical operations management platform. It is not a medical device, does not provide medical advice, and does not replace professional clinical judgment. AI-assisted features (including SATS triage and clinical decision support) are tools to assist qualified healthcare professionals and must not be relied upon as the sole basis for clinical decisions. COA does not assume liability for clinical outcomes.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY CAMEROONIAN LAW, COA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES. COA'S TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO COA IN THE 12 MONTHS PRECEDING THE CLAIM.

8. Governing Law

These Terms are governed by the laws of the Republic of Cameroon. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Yaounde, Cameroon.

9. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or a prominent notice on the website at least 14 days before changes take effect. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
